The IPO Buzz: July’s IPO Steamroller

Another 24 IPOs are on tap for the rest of the month that could raise another $5.9 billion. That would bring the total for July 2014 to 37 IPOs that could raise $7.1 billion. And guess what? There is still time to add to this traffic.
 
The busiest July in recent history came in 2000 when the calendar produced 42 IPOs that raised $8.6 billion. The busiest July on record was in 1986 when 79 IPOs made their debuts to raise $1.7 billion, according to the U.S. Securities and Exchange Commission filings.
 
Some Thrive, Others Get By
To summarize July 2014, the healthcare sector is in play, but it is not a slam dunk for investors. Six of the 13 IPOs this month are from this sector, but the market is clearly selective.
 
Two of the six were priced above their original filing ranges and closed on Friday, July 18, with an average gain of 60.4 percent. iRadimed (IRMD) was UP 40.8 percent from its initial offering price and Sage Therapeutics (SAGE) was UP 67.2 percent from its initial offering price. iRadimed priced its IPO of 2 million shares at $6.25 each, up from a filing of 1.75 million shares at $5 to $6 each, and Sage priced its IPO of 5 million shares at $18 each, up from a filing of 14 million shares at $14 to $16 each.
 
The lesson is: “Buyer, beware.” Not all healthcare IPOs skyrocket in the aftermarket.
 
The other four healthcare IPOs had to be cut in size to meet limited investors’ demand. Most got a “dead cat bounce” and traded at a premium above their reduced offering prices. The four were UP an average 4.37 percent from their IPO prices.
 
Food, Power and Digi-Pop Media
This week’s calendar continues to be heavy with healthcare IPOs. Eight of the 14 fall into this sector. But the “IPOs of Interest” are from other sectors, according to a consensus of IPO players. They are El Pollo Loco Holdings (LOCO – proposed), Spark Energy (SPKE – proposed) and Townsquare Media (TSQ – proposed).
 
El Pollo Loco Holdings is a Costa Mesa, California-based restaurant chain that specializes in fire-grilled citrus-marinated chicken. The name, translated from Spanish, is “The Crazy Chicken.” El Pollo Loco Holdings operates 401 restaurants, including 168 company-operated and 233 franchised restaurants as of March 26, 2014.

Spark Energy is a Houston-based retail energy services company that gives residential and commercial customers an alternative choice of where to buy their natural gas and electricity. Spark purchases its natural gas and electricity supply from a variety of wholesale providers and bills its customers monthly for the delivery of natural gas and electricity based on their consumption at either a fixed or variable price. Spark Energy serves customers from California to New York. The company plans to pay a quarterly dividend of 36.25 cents per share, at a rate of $1.45 per share on an annualized basis, to yield 7.25 percent at the mid-point of its price range.

Townsquare Media is a Greenwich, Connecticut-based media and entertainment company that owns and operates more than 300 radio stations as well as digital and social media properties and live events in small and mid-sized markets across the United States. The company is in an exclusive partnership with Just Jared, a celebrity gossip website. Townsquare Media’s online outlets include PopCrush.com, which covers music and entertainment. The Taste of Country Music Festival at Hunter Mountain, New York, is among its live events. The IPO Buzz: Dance of the Drug Sector’s IPOs

The drug sector produced 44 of this year’s 144 IPOs, according to the U.S. Securities and Exchange filings. Worth noting: The sector’s IPO aftermarket performance has outdone all the major stock market indexes, as well as the overall 2014 IPO market.
 
As of Friday’s close on July 11, 2014, the 44 pharmaceutical IPOs were UP 22.8 percent on average from their initial offering prices. The Dow Jones Industrial Average was UP 2.21 percent for the year, the S&P 500 Index was UP 6.45 percent and the Nasdaq Composite Index was UP 5.72 percent. The 144 IPOs priced in 2014 were UP on average 15.66 percent.
 
Walking on Sunshine
This brings us to this week’s calendar of 11 deals. Interestingly enough, IPO experts are looking at two non-pharmaceutical offerings as “IPOs of Interest.” One of these companies – TerraForm Power (TERP – proposed) – is in the solar energy business, a theme that should be easy to remember for fans of the 1980s band, Katrina and the Waves. The other company – Trupanion (TRUP – proposed) – offers pet health insurance.
 
TerraForm Power is a Beltsville, Maryland-based dividend growth-oriented company formed to own and operate solar power plants acquired from SunEdison and unaffiliated third parties. The company plans to pay a regular quarterly cash dividend of 22.57 cents per share. That equals 90.28 cents per share on an annualized basis to yield 4.51 percent at the mid-point of its $19- to $21-per-share price range.

Tech, Drugs and Video Ads
All told, this week’s calendar of 11 deals is expected to raise about $970 million. The calendar includes three other IPOs that could catch some people’s interest: Globant S.A. (GLOB – proposed); Pfenex (PFNX – proposed) (a pharmaceutical) and TubeMogul (TUBE – proposed).
 
Globant S.A. was founded in 2003 in Buenos Aires, where its principal operating subsidiary is located. The company, based in Luxembourg, provides mobile, web, cloud and data technology services to clients in North America and Europe, including these household names: Google, Coca-Cola, Disney and LinkedIn.

Pfenex is a San Diego-based clinical-stage biotechnology company engaged in the development of difficult to manufacture and high-value proteins, initially focused on biosimilar therapeutics, known as biosimilars. The company’s product pipeline includes a treatment for age-related macular degeneration and a treatment for multiple sclerosis. After the offering, the Dow Chemical Company will own about 34 percent of the outstanding shares and Signet Healthcare Partners will own about 23 percent of the outstanding shares.

TubeMogul is an Emeryville, California-based company providing enterprise software solutions for digital branding. The company helps clients manage their digital video ad campaigns. TubeMogul offers two platforms: Platform Direct, which allows advertisers to continuously run campaigns through a self-serve model and the other, Platform Services, which allows advertisers to specify campaign objectives.

The IPO Buzz: Seeking Alibaba

That’s the way it works.
 
First comes the SEC filing called Form S-1, or in Aliababa’s case, Form F-1 as in foreign.
 
On May 6, 2014, Alibaba Group Holding filed for an IPO to raise $1 billion and the world went crazy. The joint-lead managers were Credit Suisse, Deutsche Bank Securities, Goldman Sachs, J.P. Morgan, Morgan Stanley and Citi. Rarely does the Form S-1 give the number of shares to be offered and a price range. This was the case with Alibaba (Click to see prospectus.)
 
Next comes the SEC filing amendments called Form S-1/A, or in Alibaba’s case, Form F-1/A. (Click to see prospectus.)
 
On June 26, Alibaba filed an amendment naming the New York Stock Exchange as the place where its shares will be traded. The proposed symbol was “BABA,” but there was nothing about the proposed pricing terms regarding the number of shares to be offered and a price range. That’s not unusual. (Click to see prospectus.)
 
Just when Alibaba will file its updated Form F-1/A with its expected pricing terms is anybody’s guess. That answer is blowing in the wind.
 
One thing for sure: When that happens, its joint-lead managers will tell the world Alibaba’s exact pricing date. Until then, we wait.
 
That’s the way it works.
 
Alibaba is only one story from the SEC files.
 
Forecast: July Traffic Jam  
If you have been watching the SEC filing window over the last few weeks, there is a bigger story unfolding in the IPO market.
 
July could be another big month for the calendar.
 
Beginning with the week ending June 20 and running through the week ending July 3, no less than 48 companies filed plans to go public. They are looking to raise about $5.8 billion.
 
As we have seen, under the JOBS Act, a company can file a Form S-1 (initial filing) and land on the IPO calendar in a matter of a few weeks.  
 
As we have seen, under the JOBS Act, a company can file a Form S-1/A (amendment) setting pricing terms and land on the IPO calendar the following week.  
 
Over the last few weeks, 48 companies have filed a Form S-1.
 
In closing, over the last 15 years, an “average” July amounts to 14.8 IPOs, according to the SEC’s files.
 
Looking into the week of July 14, the calendar is “clean and green.” But anything could happen. July will still be young at that point – and 48 companies have filed plans to go public.

The IPO Buzz: A Little Banking Before the 4th

This week’s newcomer is a banking company with Louisiana roots:  
 
Investar Holding (ISTRproposed) is a Baton Rouge, Louisiana-based bank holding company formed in 2006. Investar offers a wide range of commercial banking products tailored to meet the needs of individuals and small to medium-sized businesses. The deal is expected to be priced Monday evening, June 30, to start trading Tuesday, July 1st. This kicks off the second half of 2014.

The Hero – 2014 Mid-year:
Enerous (WATT) is a Baton Rouge, Louisiana-based development stage technology company working to develop technology that can enable wireless charging or powering of electronic devices at a distance. On March 27, 2014, the company priced its IPO of 4 million shares at $6 each. It closed Friday, June 27 at $15.50, UP 158.3 percent from its initial offering price. 
 
The Goat – 2014 Mid-year:
NephroGenex (NRX) is a Research Triangle Park, North Carolina-based pharmaceutical company focused on the development of therapeutics to treat kidney disease. On Feb. 10, 2014, the company priced its IPO of 3.1 million shares at $12 each. It closed Friday at $5.95, DOWN 50.4 percent from its initial offering price.

The Hero – 2013 Mid-year:
ExOne (XONE) is a North Huntingdon, Pennsylvania-based provider of three-dimensional printing machines and printed products to industrial customers. On Feb. 6, 2013, the company priced its IPO of 5.3 million shares at $18 each. It closed Friday, June 28, 2013, at $61.72, UP 242.9 percent from its initial offering price. Fast forward to Friday, June 27, 2014, ExOne closed at $37.59, DOWN 39.1 percent from a year ago, but UP 108.8 percent from its initial offering price.
 
The Goat – 2013 Mid-year:
Professional Diversity Network (IPDN) is a Chicago-based provider of online networks serving diverse professionals in the United States The company focuses on Hispanic and African-American professionals. On March 5, 2013, the company priced its IPO of 8 million shares at $8 each. It closed Friday, June 28, 2013, at $4.19, DOWN 47.6 percent from its initial offering price. Fast forward to Friday, June 27, 2014, it closed at $4, DOWN 50 percent from a year ago. 
 
Looking into the week of July 7, the calendar has only one IPO. But anything could happen. July will still be young.

The IPO Buzz: June’s IPO Heat Wave

The IPO market needs the winds of a bull market at its back to flourish. That’s exactly what’s happening. Two of the three major stock market indexes closed on Friday, June 20, at record  highs. The Dow Jones Industrial Average ended at 16,947.08 and the S&P 500 Index at 1,962.87. The NASDAQ Composite Index finished at a 14-year high at 4,368.04. The last time the NASDAQ closed higher was – you guessed it – during the insanity-dot-com Internet bubble when it ended at 4,446.20 on April 7, 2000.
 
This year’s IPO market, including last week’s pricings and this week’s calendar, can be split into the “haves” and “have-nots.”
 
For the year to date: 131 IPOs have been priced; 84 were winners and 47 were losers. Last week: 11 IPOs were priced; six were winners and five were losers. This tells you that not everything is a slam dunk in the 2014 IPO market. It sets the stage for this week’s calendar of 17 IPOs. It, too, has a few “haves.” And the rest? Well, time will tell.
 
A Handful of “Haves”
Let’s look at five deals that some think could be the “haves.”
 
GoPro (GPROproposed) is a San Mateo, California-based manufacturer of high-definition personal wearable cameras used in action video photography. The cameras are lightweight, rugged, wearable or mountable in unusual places, enabling users to capture, manage, share and enjoy experiences such as rock climbing, surfing and biking. Imprivata (IMPR – proposed) is a Lexington Massachusetts-based provider of authentication and access management technology solutions for the healthcare industry. The company makes the OneSign Platform for securing employee access to desktops, networks and applications. Imprivata services over 1,250 clients and offices in the United States, the United Kingdom, Italy, Belgium, and Germany. The OneSign Platform can be installed on every workstation and other application access points throughout a healthcare organization. Materialise NV (MTLS – proposed) is a Belgium-based provider of additive manufacturing software known as 3D printing. The company supplies customers in a variety of industries, such as healthcare, automotive, aerospace, art and design, consumer products, financial services, government verticals, the energy/utilities, retail and telecommunications industries. Michaels Companies (MIK – proposed) is an Irving, Texas-based arts and crafts specialty retailer providing materials, project ideas and education for creative activities. Michaels is a mecca for teachers and do-it-yourself brides. The company operates four regional processing centers in California, Texas, North Carolina and Ontario. It has about 1,260 stores. Xunlei Limited (XNET – proposed) believes it is the 12th-largest Internet company in China. The company delivers digital media content, such as video, music and games to over 300 million monthly unique visitors. Of course, there are other interesting IPOs on this week’s calendar. A couple of those names could emerge on somebody’s “most wanted” list as the week progresses.
 
Looking into the week of June 30, the calendar has only one IPO as it cruises into the July 4th holiday break.
