We are a newly established blank check company. Although we currently intend to focus on target businesses in the social commerce (direct selling) industry, we may pursue an acquisition opportunity in any business, industry, sector or geographical location.
Social commerce is a more than 150-year-old channel and one of the most fundamental mediums for distributing products and services. Household names within the channel include well-known, multi-billion dollar brands such as Amway, Herbalife, LegalShield, Young Living and Mary Kay. In recent years, emerging challenger brands focused on competitively priced products, growing demographics and service offerings have driven the growth of the channel. Examples of these brands include Immunotec, LifeWave, EXP Realty and Partner.co.
Globally, social commerce represented a $224 billion channel in 2024 per Horizon Grandview Research. In the United States, the channel generated approximate sales of $44.62 billion in 2024.
We believe that social commerce represents one of the most effective means for distributing demonstrable products and relevant services in the market today. Well-managed companies within the channel are exceptionally profitable and can scale quickly through the implementation of certain strategies, initiatives, technologies and methods.
The domestic direct selling channel experienced a renaissance in 2020, achieving record annual domestic revenue. According to the Direct Selling Association, domestic direct selling revenue grew by approximately 14% in 2020, on a year-over-year basis, to more than $40 billion. The COVID-19 pandemic accentuated and accelerated several positive trends that were already becoming prevalent within the space, which brought forth the channel’s best characteristics.
A return to work and a period of social isolation presented headwinds to the channel, but the total global and domestic channel has regained momentum and returned to growth, forecast to end the year above its prior peak, per Horizon Grandview Research.
Stuart Johnson will serve as our CEO and chairman. Leveraging his extensive experience and contacts across our primary industry verticals, Stuart Johnson is experienced in SPAC offerings. Johnson has been involved in the social commerce channel for more than 40 years via his ownership of Direct Selling Partners, an industry-leading marketing services firm. Mr. Johnson and Direct Selling Partners are recognized, world-wide, as prominent experts and visionaries within the space. Johnson is also the owner and publisher of Direct Selling News, the leading industry publication.
