(Incorporated in the Cayman Islands)
We are a newly organized blank check company. We we currently intend to focus our search for a target company on businesses operating in the following areas – power infrastructure, decarbonization, AI (artificial intelligence) infrastructure, digital infrastructure and industrial electrification.
We are part of the Spring Valley family of investment vehicles, which since 2020 has raised approximately $920 million across four public offerings focused on the evolving global energy and AI infrastructure landscape. Through Spring Valley I, Spring Valley II, Spring Valley III, Spring Valley IV and now Spring Valley V, we have sought to identify and partner with innovative businesses addressing some of the most significant long-term secular trends impacting the global economy, including the rapid growth in electricity demand, modernization of critical infrastructure, AI-driven compute expansion, energy security, and the transition toward lower-carbon energy systems.
Our sponsor includes capital from our management team, board and the team at Pearl Energy Investments, a Texas-based private investment firm with approximately $3.0 billion of assets under management focused on the North American energy sector.
We believe the convergence of AI adoption, electrification, data center growth, grid modernization, and energy transition is creating one of the largest infrastructure investment cycles in decades. According to McKinsey & Company, global demand for data center capacity is expected to grow at an annual rate of up to 22% through 2030, driven largely by AI workloads and accelerated compute demand. At the same time, the International Energy Agency projects that global electricity demand will continue increasing materially over the coming decade, requiring substantial investment across generation, transmission, distribution, energy storage, and grid management systems
(Note: Spring Valley Acquisition Corp. V filed its S-1 on June 5, 2026, for its SPAC IPO and disclosed the terms:20 million units at $10.00 each to raise $200 million. Each unit consists of one share and one-fifth of one redeemable warrant.)
