We are a newly organized blank check company. We intend to search for a target business with significant international energy assets that are operational and cash generative, which may provide opportunities for attractive risk-adjusted returns and benefit from the increased demand in energy.
With our relationship to Samos, we believe that our management team is well positioned to identify, evaluate and execute an initial business combination with an attractive target company. The Samos platform comprises over 20 professionals with extensive experience across the traditional energy value chain, including, but not limited to, upstream oil and gas, midstream infrastructure and thermal power generation. Collectively, the Samos team brings a broad and complementary skill set spanning energy operations, facilities engineering, geoscience, private equity and project finance, legal structuring, and complex transaction execution.
Jacques Tohme has been our CEO and director since February 2026. He is expected to serve as chairman of the board after the IPO. Since July 2023, Mr. Tohme has served as co-founder and managing partner at Samos Energy Group, which owns a portfolio of floating energy infrastructure assets in Southeast Asia via an acquisition of PetroFirst from Blackrock, and a subsequent acquisition from Altera Infrastructure Group (Brookfield). Before founding Samos Energy Group, from January 2016 to March 2023, Mr. Tohme was co-founder and served as director of Tailwind Energy, a UK oil and gas producer that was backed by Mercuria and grew by acquiring and developing assets from ExxonMobil, Royal Dutch Shell, EOG Resources and Oaktree. Tailwind also transacted with BP and Eni. Tailwind grew from scratch to an NAV in excess of $782 million with average FCF of $200 million per year. Tailwind raised over $700 million in external banking facilities from global banks. In March 2023, Tailwind was sold to Serica Energy Plc, a London-listed oil and gas company, generating substantial returns for investors.
Trent Kososki has been our CFO, chief accounting officer and secretary since March 2026. He will serve as a director following completion of this offering. Since August 2022, Mr. Kososki has served as the founder and CEO of GoodPeak, which develops, owns and operates power and digital infrastructure with assets in Texas’ ERCOT market. GoodPeak focuses on utility-scale energy storage, hybrid solar-plus-storage, and powered land, supporting data centers and energy-intensive advanced manufacturing. Mr. Kososki has over 20 years of principal investing experience in energy and infrastructure, with more than $2 billion of capital deployed across power generation and energy infrastructure assets. He previously served as a managing director at Stonepeak, a leading global infrastructure asset manager with over $84 billion of assets under management, from September 2020 to August 2022 and senior advisor and operating partner from September 2022 to September 2025. Before Stonepeak, Mr. Kososki spent 15 years at Energy Capital Partners (“ECP”), an energy-focused private equity firm with over $37 billion of capital commitments raised since inception. He joined ECP as a founding member in 2005 and later became a partner until August 2020, focusing on energy and power investments.
