We are a Phase 2 biotech focused on developing NanO2, an IV-administered oxygen therapy to treat hypoxia. NanO2 is based on dodecafluoropentane. 

The focus of our clinical research and development to date has been on the administration of NanOto treat acute ischemic stroke and GBM (glioblastoma). We have additional programs in earlier-stage development for acute respiratory distress syndrome (ARDS) and sickle cell anemia. In each of these diseases or conditions, lack of oxygen plays a critical role in either weakening the effectiveness of standard treatment or directly causing mortality or morbidity. Stroke patients, for example, experience reduced blood flow to the brain, which results in hypoxia and causes localized brain death. We are evaluating NanO2 in Phase IIb clinical trials.

We have completed enrollment and treated 93 patients in a Phase IIb clinical trial of NanO2 in the United States to treat GBM, an aggressive form of brain cancer. We are now in the follow-up period. This trial has been partially funded by the National Cancer Institute. The University of Glasgow has commenced an investigator-initiated Phase IIb clinical trial administering NanO2 that we supply to stroke patients in the United Kingdom. To date, 17 patients have been treated. 

We also commenced dosing patients in a Phase Ib trial administering NanOto respiratory distress patients in Canada in the second quarter of 2025. To date, the first and second cohorts of this Phase Ib trial have been completed, and a total of 12 patients have been treated. This Phase Ib trial is expected to be followed by a Phase II trial for ARDS patients, which has already been allowed by Health Canada.

Our intention is to use the net proceeds of this offering to complete all three trials, to conduct our planned Phase II ARDS trial, as well as to commence preparation for a pivotal Phase III trial for the administration of NanO2 to treat patients with GBM.

We expect to use the net proceeds from this offering as follows: (i) approximately $5.0 million to fund through clinical trial completion the current Phase IIb clinical trial in GBM; (ii) approximately $0.5 million to fund product candidate supply through clinical trial completion for the current Phase IIb clinical trial in stroke; (iii) approximately $0.5 million to fund through clinical trial completion the current Phase Ib clinical trial in respiratory distress; (iv) approximately $1.0 million to prepare for a pivotal Phase III trial for the administration of NanO2 to treat patients with GBM; (v) approximately $6.0 million to fund the Phase II ARDS trial that is already allowed by Health Canada; and (vi) to use the remaining funds for ongoing development of our product candidates and for working capital.
