Lucens Capital Acquisition I

General Information
Business:

(Incorporated in the Cayman Islands)

We are a newly established blank check company. We intend to focus our search for an acquisition target on businesses based in Argentina or whose revenues, operations or strategic growth are primarily linked to Argentina.

We may also selectively consider businesses elsewhere in Latin America where we believe our team’s experience, relationships and capital-markets background provide a meaningful advantage.

Our search will concentrate on Argentina-linked companies with an enterprise value of about $400 million to $1 billion or more.

We believe Argentina presents a selective, company-level opportunity set for U.S. public-market investors. Argentina has implemented a series of fiscal, monetary and exchange-rate measures and pro-investment reforms that, in our view, may improve the operating and investment environment for certain businesses in the years to come. Our focus is on identifying companies that can also perform well across different economic cycles.

We believe Argentina possesses structural advantages that can underpin long-term, company-level value creation, including:

•        world-class unconventional oil and gas resources concentrated in the Vaca Muerta formation [Secretaría de Energía/IAPG];

•        large lithium and copper deposits and other minerals critical to the global energy transition, including a position within the so-called “Lithium Triangle” [USGS];

•        a globally competitive agricultural and agro-industrial base, including a position among the world’s leading exporters of soybeans, corn, wheat and beef [INDEC];

•        a skilled, globally integrated workforce, recognized for strong technical skills and high English proficiency, supporting an export-oriented technology and services base [INDEC];

•        a recognized information technology ecosystem and an innovative financial-services sector, including companies and business models that have attracted international capital and achieved regional or global relevance such as Mercado Libre (NASDAQ: MELI) and Globant (NYSE: GLOB) ; and

•        a strategic geographic position with access to regional and international markets.

Pablo Mineo Tsutsumi Acuña has served as our CEO and a director since June 2026. Mr. Tsutsumi Acuña is a co-founder and partner of Lucens Capital. He serves as chairman of Bond Energy Solutions, as a director of Janis Commerce, and on the oversight committee of Diransa, each a Lucens Capital portfolio company. He also serves on the investment committee of Ceverum, a dedicated investment vehicle co-created by Lucens Capital to provide litigation-finance and claim-purchase solutions, which is distinct from Lucens Capital’s operating-company portfolio.

Before founding Lucens Capital, Mr. Tsutsumi Acuña was a vice president on the Emerging Markets Opportunities team at Oaktree Capital Management in New York; an investment professional at Eton Park covering private-equity investments in Latin America, and a member of J.P. Morgan’s Latin America M&A advisory team. He received a B.A. in Economics, summa cum laude and Phi Beta Kappa, from Harvard College and an M.B.A. from Harvard Business School.

Juan Pablo Sánchez Loria has served as our CFO since June 2026. Mr. Sánchez Loria is a partner of Lucens Capital. He also serves as the CFO of Janis Commerce, a software-as-a-service (SaaS) provider of end-to-end, omni-channel order-fulfillment and logistics solutions for retailers serving customers across more than 20 countries in the Americas and Europe. He serves as chairman of Alpha Group and as an alternate director of Janis Commerce, both of which are Lucens Capital portfolio companies.

Before joining Lucens Capital, Mr. Sánchez Loria worked for 10 years at J.P. Morgan, most recently as a vice president in the Latin America M&A advisory group in New York with dedicated coverage of the technology and consumer sectors, where he led more than 25 M&A and capital-markets transactions — including sell-side and buy-side M&A deals as well as IPOs and SPAC IPOs, and debt offerings. He joined J.P. Morgan in its Buenos Aires office in 2013 and relocated to New York in 2019. He received a B.S. in Economics, summa cum laude, from Universidad de San Andrés in 2011.

(Note: Lucens Capital Acquisition I filed its F-1 for its SPAC IPO on Aug. 7, 2026, and disclosed the terms: 10 million units at $10.00 each to raise $100 million. Each unit consists of one share of stock and one-half of one redeemable warrant.)
