Note: Advancit Acquisition Corp. I withdrew its SPAC IPO in an SEC filing dated April 8, 2021. The SPAC’s S-1 was dated Feb. 17, 2021, with initial terms of 35 million units at $10 each. Advancit Acquisition Corp. I trimmed its SPAC IPO to 27.5 million units, down from 35 million, in an S-1/A filing dated June 15, 2021.
We intend to pursue a target that will benefit from our team’s unique experience in the media and technology sectors, with a primary focus on North American and European Markets. (Incorporated in the Cayman Islands)
Our management team is led by Jonathan Miller, the Chairman of our board of directors. He is a longtime media operator and investor with deep domain knowledge, global board leadership and transactional expertise. During his tenure as Chief Executive Officer of AOL and Chief Executive Officer and President of USA Information and Services, a division of USA Interactive (predecessor of IAC / InterActiveCorp), Mr. Miller helped scale consumer platform businesses and drive growth through mergers and acquisitions. He has previously served on many boards across relevant industries such as Live Nation, AMC Networks, Ticketmaster, Trip Advisor, RTL, Shutterstock (before and following its IPO) and Tumblr (until its acquisition by Yahoo). Mr. Miller continues to have strong public board experience and currently serves on the board of directors of The Nielsen Company, Akamai Technologies, Inc., Interpublic Group of Companies, Inc., and J2 Global, Inc. As an investor at Integrated Media Company (a TPG sponsored company) and previously Advancit Capital and Velocity Interactive, Mr. Miller also brings venture capital and private equity experience. In addition, Mr. Miller has also successfully led a number of corporate investments, including Kayak and Roku.
Our Chief Executive Officer, Randy Freer, brings decades of operational leadership, most recently as Chief Executive Officer of Hulu, a leading premium streaming service. During his tenure, Mr. Freer oversaw the transition of Hulu to cloud technology enabling it to grow its subscriber base and scale significantly. He has been directly responsible for managing large operating units, overseeing rapid employee growth and developing modern workforce culture. He has been involved in negotiating programming agreements and significant content and rights acquisition deals and many corporate investments during his time at Hulu and as President and Chief Operating Officer of Fox Networks Group. He has numerous and long-standing relationships across media, brands, sports leaders, content creators and technology leaders.
Our President, Jason Ostheimer, co-founded Advancit Capital in 2011, which invests in best-in-class entrepreneurs that are building the next generation of disruptive companies across the media and technology landscape. Advancit Capital has invested in more than 100 early-stage companies and its portfolio includes notable digital media companies such as Maker Studios (acquired by Disney) and Wondery (acquired by Amazon) as well as high growth subscription businesses such as the Athletic, Masterclass and Headspace.
