We are a newly incorporated blank check company. We intend to focus our search on target businesses within the food production and agribusiness, primarily in protein, land cultivation, aqua culture, food cultivation, food production, food-tech, ag-tech, controlled environment agriculture, agriculture machinery and supply chain distribution, genetics and seed development and open field crops in the case of agribusiness.
Our geographic focus will be Latin America, with particular emphasis on Argentina, Brazil, Colombia and Chile (ABCC) where we believe the expertise of our management team and advisors will provide us with a competitive advantage in completing a successful initial business combination.
Sean T. Rooney will serve as CEO. He is the managing partner of Montanagonia Investments LLC, an investment portfolio firm, and has served in this role since August 2022. Mr. Rooney has over 25 years of experience as an executive in the oil and gas development industry with a focus on foreign investments and operations in Latin America and the Middle East, including serving in executive roles with Shell, Mobil and ExxonMobil. Mr. Rooney served as president of Shell Venezuela from December 2004 to July 2008, and vice president, exploration for the Middle East of Shell Venezuela from July 2008 to December 2009. He served as the president of Shell Argentina SA from August 2018 until August 2022.
Peter Lawrence Gianulis will serve as CFO. He is the CEO and a director of A2Gold Corp, a publicly traded precious metals exploration stage company, a position he has held since September 2019. Mr. Gianulis also serves as a director and a member of the Audit and Compensation committee of Organto Foods Inc., a leading organic produce company he founded in 2005 and led as CEO from 2015 to 2017. He has served as a director and a member of the compensation committee of Gold Resource Corp. (NYSE: GORO) since June 2025. Mr. Gianulis brings over 25 years of experience in global capital markets, private equity and emerging market investments. He has more than two decades of experience in asset management and strategic advisory, with a proven record of identifying, financing, and scaling high-growth businesses across multiple industries, including natural resources, financial technology and consumer products. From May 2005 to September 2017, he was president of Carrelton Asset Management, a private equity and hedge fund focused on natural resources and consumer sectors. He was a partner of the Salomon Brothers Hedge Fund Group from 1996-2005. Mr Gianulis has raised and managed more than $2 billion in capital, focusing on growth companies, natural resources and special situations across Latin America and other emerging markets.
Carlos Andres Barresi will serve as the chairman of the board and COO. He is co-owner of and has served as Chief Technology Officer of Maresba SRL, an Argentine family-owned company in the fruit production industry, since January 1993. Mr. Barresi has extensive experience in executive management, consulting, private equity, and public service, with a consistent focus on food, agriculture, and industrial value chains. From October 2019 to September 2025, he advised Salmon Trout, a leading aquaculture company in Argentina. In public service, Mr. Barresi served as Secretary of Economic Development of Rio Negro State from December 2019 to October 2020, and previously as Secretary of Economic Development and Planning of the same state from December 2017 to December 2019.
