Note: GP-Act III Acquisition Corp. filed a new S-1 on April 19, 2024, with plans for its SPAC IPO: 25.0 million units at $10.00 each to raise $250.0 million. Each unit consists of  one share of common stock and one half of a warrant.

Note: This new IPO filing follows the withdrawal of its previous SPAC IPO plans on Nov. 16, 2022.

We are a blank check company. While we may pursue an initial business combination target in any industry or geographic location (subject to certain limitations described in this prospectus), we intend to focus our search on high potential businesses based in the United States. Our co-sponsor, GPIAC II, LLC, is a wholly owned subsidiary of GP Investments, a leading private equity and alternative investment firm with over 30 years of history assisting companies to develop, grow and build long lasting capabilities through operational and governance improvements. GP Investments is led by experienced professionals, including Fersen Lamas Lambranho (Co-Chairman and the Chairman of GP Investments), Antonio Bonchristiano (Chief Executive Officer and the Chief Executive Officer of GP Investments) and Rodrigo Boscolo (Chief Financial Officer and the Chief Financial Officer of GP Investments), among others. GP Investments has a group of highly talented professionals, with a strong reputation in the private equity industry, who have been working together for 17 years, on average. The investment team has significant financial and operational expertise, having successfully completed private equity and capital market transactions in many industries throughout various economic cycles in Brazil, the United States and Europe. Many of the senior professionals at GP Investments also have direct operating experience in C-suite roles.
