We are a blank check company, also known as a SPAC. We intend to focus our search for an acquisition target on the financial services industry in North America.

Jonathan Bates has served as our CEO and chairman of the board,since March 2026. Mr. Bates has approximately 35 years of experience in the financial services industry, including roles in investment management, capital markets, and executive leadership at both public companies and investment firms. From November 2017 to January 2019, Mr. Bates served as the managing partner of Boustead Capital Partners, an SEC-registered broker-dealer. Earlier in his career, he was a managing director at J.P. Morgan Securities from 2009 to July 2012 and from July 2015 to November 2017. In between his two stints at J.P. Morgan, he served as a director at Barclays Wealth U.S.

From July 2021 through November 2025, Mr. Bates served as chairman and/or CEO of BitMine Immersion Technologies (NYSE: BMNR). During his tenure, he oversaw the company’s development from its early stage through its growth- first as a Bitcoin miner, and later as the world’s largest holder of Ethereum at the time of his departure. He previously served as Chief Investment Officer, President, and General Partner of Progression Asset Management. Progression’s subsidiary, Innovative Digital LLC (“Innovative Digital”), served as the general partner of Innovative Digital Investors Emerging Technology, L.P., a private investment fund that invested in technology-focused companies, including BitMine Immersion Technologies.

Hassan Sajjad Baqar has served as CFO since March 2026. Mr. Baqar has served as senior analyst in merchant banking division at FG Nexus Inc. (NASDAQ: FGNX) . The Ethereum Treasury company was formerly known as Fundamental Global Inc., FG Financial Group, Inc. and as 1347 Property Insurance Holdings, Inc.). It previously had operated as a reinsurance and asset management company, since January 2021.Previously Mr. Baqar served as a senior analyst at Kingsway Financial Services Inc. (NYSE: KFS) from September 2013 to December 2020 and fund analyst at Citco Fund Services from September 2009 till September 2013..
