We are a newly established blank check company. We intend to identify and acquire a business where we believe our management teams’ and our affiliates’ expertise will provide us with a competitive advantage, including companies involved in the technology, healthcare and logistics industries. We will seek to acquire one or more businesses with an aggregate enterprise value of $150 million or greater, although, if we believe it is in the best interests of our shareholders, we may pursue a business combination with a target below that size.
In particular, we expect to target businesses operating in sectors where our team has deep domain expertise, including technology-enabled services, performance marketing and customer acquisition platforms, digital media and marketplace models, data analytics and AI-driven solutions, and businesses operating in regulated industries such as insurance and financial services.
Within these sectors, we are particularly focused on identifying businesses that operate as technology-enabled customer acquisition and monetization platforms, leveraging data, artificial intelligence, and marketplace dynamics to efficiently match consumer demand with enterprise buyers. These platforms may include, among others, marketing technology and customer data platforms, performance-based digital media businesses, lead generation and demand capture platforms, and transaction-oriented marketplaces that facilitate the pricing, distribution, and optimization of high-intent consumer demand. We believe these business models benefit from strong network effects, scalable unit economics, and increasing demand from enterprises seeking measurable, outcome-based customer acquisition solutions.
