We are a newly organized blank check company. We currently intend to concentrate our efforts on the restaurant, hotel and other hospitality industries, hospitality focused technology, casinos, gaming and entertainment industries, food and beverage companies, retail and consumer goods companies, food and food related technology and professional sports teams, including sectors that service or are connected to these industries.

We expect to pursue both domestic and global businesses.

Anthony Ackil, who has served as our chief executive officer and director since August 2025, is an entrepreneur, restaurant industry executive and investor, who currently serves as the founder and chief executive officer of Streetlight Ventures LLC, a restaurant management and investment platform which he formed in 2019 and is focused on full service and fast casual brands. Streetlight Ventures supports, manages, acquires and invests in growth restaurant brands. Streetlight Ventures currently owns and operates ten restaurant companies across thirteen states. Mr. Ackil oversees the management of all the Streetlight brands. Streetlight brands include: (i) Burtons Grill and Bar, a polished casual dining brand with restaurant locations in Florida, the Carolinas, the Mid-Atlantic and the Northeast, together with ten additional units currently under development; (ii) Tio Juan’s Margaritas Mexican Restaurant, a Mexican casual dining chain based out of New Hampshire with locations from Pennsylvania to Maine; (iii) Red Heat American Tavern, a family dinning brand based in the Boston area; (iv) Otto Pizza, a craft pizza chain based in Portland ME with multiple units under development; and (v) Anna’s Taqueria, an iconic Boston Taqueria with seven units in development.

In April 2025, Mr. Ackil was appointed Chairman of Red Robin Gourmet Burgers (Nasdaq: RRGB), an American chain of casual dining restaurants of which Mr. Ackil has been a Board member since 2020. Red Robin currently has 498 restaurants in 39 states.

Jennifer Calabrese has served as our CFO since August 2025. Ms. Calabrese is the founder and CEO of Calabrese Consulting, LLC (“CCL”). Founded in 2012, CCL is a minority/woman-owned, full-service accounting and financial reporting advisory firm with over 50 employees, serving clients around the world. CCL specializes in SEC financial reporting, compliance, and consulting services to facilitate the reporting between auditors and public/private companies on behalf of clients.
