Qomolangma Acquisition Corp.

General Information

We intend to focus on middle-market businesses with a total enterprise value of between $300 million and $500 million. We will search for companies in business segments with strategic significance to the Asian markets. Such sectors include the Internet and high tech, financial technology (FinTech), clean energy, agriculture machinery, health care, consumer and retail, energy and resources, food processing, manufacturing and education. (Incorporated in Delaware)

**Note: “Our sponsor, Qomolangma Investments LLC, a Delaware limited liability company, and certain members of our board of directors and management have significant business ties to or are based in the People’s Republic of China (PRC or China). We may consider a business combination with an entity or business with a physical presence or other significant ties to China which may subject the post-business combination business to the laws, regulations and policies of China (including Hong Kong and Macao). In addition, given the risks and uncertainties of doing business in China discussed elsewhere in this prospectus, the location and ties of our sponsor and certain members of our board of directors and management to China may make us a less attractive partner to a target company not based in China, which may thus increase the likelihood that we will consummate a business combination with a target company that is located in China.

“However, we will not conduct an initial business combination with any target company that conducts operations through variable interest entities, or VIEs, or that has an auditor that the Public Company Accounting Oversight Board, or PCAOB, is unable to inspect for two consecutive years beginning in 2021 at the time of our business combination.”

Mr. Myers received his MBA from Rotterdam School of Management Erasmus University in 1994. He resides in the United States.

Hao Shen has been our CFO and a member of our board of directors since August 2021. He has served as an independent director at NCH Huayang since August 2013. His responsibilities cover corporate governance and strategic development. In addition, he also has served as the founder and managing director of Shanghai Zhaohui Network Technology Co., Ltd since December 2014 and an independent director and member of the nomination and compensation committees at Renrui HR (HKG: 6919) since December 2019.
