(Incorporated in Delaware)

Note: From the prospectus – “Effective Sept. 9, 2026, we changed our corporate name from NodThera Inc. to Rezera Inc.”

We are a clinical-stage biotechnology company developing an internally invented portfolio of proprietary and wholly owned oral inhibitors of NOD-like receptor protein 3, or NLRP3. We have been a leader in the research, discovery and development of NLRP3 inhibitors for over a decade. We have designed our portfolio to address historical challenges faced by other NLRP3 inhibitors: potency, therapeutic index and tissue penetration.

NLRP3 is the upstream driver of sterile inflammation – inflammation that is caused by damage signals, such as cholesterol crystals or misfolded proteins, rather than by infection. NLRP3 activation triggers formation of the NLRP3 inflammasome, an intracellular protein complex involved in the body’s inflammatory response.

When NLRP3 becomes chronically activated, it stimulates this cascade of inflammatory mediators that drive the development and progression of cardiovascular and neuroinflammatory disease. This phenomenon of chronically elevated inflammation that persists and contributes to disease progression even when other known risk factors are well controlled, is known as RIR.

By directly inhibiting NLRP3 upstream, we aim to broadly reduce the activity of the entire sterile inflammation pathway, reducing RIR and modifying the course of cardiovascular and neurologic diseases.

Our lead product candidate, ruvonoflast, is highly potent and it was observed to be well tolerated in five completed human clinical trials as well as in an extensive nonclinical toxicology program. It is designed to achieve broad tissue distribution, including penetration into the central nervous system, or CNS.

We plan to develop ruvonoflast in peripheral artery disease, or PAD, as our lead indication. PAD is a form of atherosclerotic cardiovascular disease, or ASCVD, in which narrowed or blocked small arteries reduce blood flow to the limbs, most commonly the legs.

We are preparing to initiate a registrational Phase 3 trial of ruvonoflast, our lead product candidate, in PAD in the first half of 2027. This schedule is designed to enable a Phase 3 readout in 2028 and a planned new drug application, or NDA, submission in early 2029. Assuming our Phase 3 trial progresses as anticipated, and the results of the clinical trial support NDA submission, we believe our current plan would put us on pace for NDA approval in 2029, subject to the FDA’s review and approval of our filing.

We plan to explore the use of ruvonoflast in ASCVD broadly, as well as in ASCVD indications similar to PAD, including others such as heart failure, that may be approved by the FDA and other regulatory authorities in the course of a larger ASCVD strategy.

We plan to advance trabzanoflast, our earlier stage NLRP3 inhibitor, into a Phase 2 proof-of-concept trial. Trabzanoflast is designed to target neuroinflammation.
