We intend to focus our search for a business combination target in the broadly defined energy value chain, particularly the upstream oil and gas, power generation, energy infrastructure, and critical metals and minerals subsectors.

Our Management Team 

*J. Kyle Derham, our CEO and a director since June 2025, is a partner at Rice Investment Group, where he has served since January 2018. His SPAC experience includes serving as the CEO and a board member of Rice Acquisition Corp. 2, an NYSE-listed SPAC – symbol: RONI – that went public in February 2022. Mr. Derham served as the CEO and a director of Rice II until the SPAC completed its initial business combination with Net Power (NPWR) in June 2023, according to the prospectus.

*James “Jamie” Wilmot Rogers has served as our CFO and chief accounting officer since June 2025. Mr. Rogers is a partner of Rice Investment Group. Mr. Rogers served as senior vice president and chief accounting officer and administrative officer, treasurer of Rice Energy from April 2011 through November 2017. Mr. Rogers also served as the chief accounting officer of Rice II from its formation in February 2021, and as the CFO of Rice II from February 2022 until June 2023 when the Rice II Business Combination was completed, the prospectus said.
