We are a new blank check company.

We will have a generalist approach to industry sectors, but with particular emphasis on industries where we have core competencies and experiences, such as digital assets, technology, and healthcare industries. However, we may pursue an initial business combination opportunity in any industry or sector (subject to certain limitations described in this prospectus).

Bala Padmakumar (age: 64) serves as our CEO and chairman. Mr. Padmakumar is a broad-based entrepreneur and technologist with a strong background in strategic partnerships, product and business development, technology and operations, private equity, and venture capital environments. Mr. Padmakumar also has broad experience leading special purpose acquisition companies (SPACs).

Soumen Das (age: 44) serves as our CFO and a director. Mr. Das has served as Director of Capital Markets & Investments at VIKASA Capital Inc. from June 2021 to May 2024. He has extensive SPAC experience. Mr. Das has also been the director of finance of Meditab Software Inc. since July 2024 and the CFO of DosePacker Inc. since May 2025. Mr. Das was also the project development manager and chief financial officer of JENO RD from 2015 to 2018.
