We are a newly organized blank check company. We currently intend to focus on target businesses in software, technology, artificial intelligence, digital asset, clean energy and other high growth sectors, although we may pursue an acquisition opportunity in any business, industry, sector or geographical location.

Timothy R. Ramdeen, our chairman and CEO, is the founder and  CEO of Hudson Strategic Advisors, a New York-based investment banking and advisory platform focused on special situations, credit, structured financings, and capital formation for emerging-growth and publicly listed companies. At Hudson, he oversees origination, diligence, and execution activities, focusing on corporate and institutional engagements across multiple sectors, including healthcare, technology, consumer, financials, and energy sectors. He is also the founder and CEO of Dharma Capital Advisors, a boutique consulting and advisory firm focused on strategic, financial, and operational initiatives for private and public emerging growth and middle-market companies.

Sukhvinder Gill has served as our COO and a director since inception. He has over three decades of international financial leadership experience across the Americas, Asia, and Europe encompassing capital markets, trading, and venture capital. Previously, Mr. Gill served as chief investment officer and early founding member of RedCloud Holdings plc (“RedCloud Technology”), which raised over $100 million in private capital and closed an initial public offering in March 2025. Additionally, he served on the investment team at SoftBank Vision Fund, sourcing and structuring investments totaling hundreds of millions of dollars and also partnered closely with portfolio companies to enhance growth strategies and operational efficiency across tech-focused sectors.

Paul Sykes has served as our CFO since inception. He is a seasoned financial executive with over 30 years of experience spanning public and private companies, with deep expertise in IPOs, mergers and acquisitions, structured finance, operational turnarounds, and international financial leadership across SaaS, technology, and digital communications sectors. From April 2021 to April 2025, Mr. Sykes served as the chief financial officer of Springbig Holdings, Inc., a Nasdaq-listed SaaS platform for cannabis retailers. He led the company’s public listing via a de-SPAC merger with Tuatara Capital Acquisition Corp. Mr. Sykes served for 20 years as the CFO of dmg information (DMGT plc), the technology investment division of a London Stock Exchange-listed group. Earlier in his career, he held roles as group treasurer at EMAP plc, controller at BBC Frontline, and auditor at KPMG.
