We intend to focus our search for an initial business combination within the enterprise software sector, with a primary focus on infrastructure software, horizontal applications that address a wide range of critical business processes, and vertical applications developed for specific industries.

W. Carter McClelland, our chairman, and Edward R. Smith, our CEO, co-founded Union Square Advisors in 2007. Mr. McClelland is the chairman of Union Square Advisors. Mr. Smith is the president of Union Square Advisors.

Mr. McClelland began his career at Morgan Stanley & Co., where he co-founded Morgan Stanley’s technology investment banking group. He later became the president, CEO and a board member at Deutsche Bank North America. He subsequently became the chairman of Bank of America Securities.

Mr. Smith also began his career at Morgan Stanley, where he was an early member of the firm’s technology investment banking group. He later became an executive at Novell and subsequently joined Credit Suisse, where he was a managing director and headed the global software investment banking practice. He left Credit Suisse to co-found Union Square Advisors with Mr. McClelland.
