We are a newly established blank check company. We intend to focus our search on businesses that own, operate or are developing precious metals and other critical minerals assets of strategic significance to the United States, with an emphasis on assets located in the United States and other tier-one mining jurisdictions. In particular, we intend to focus on primary silver and other precious metals projects, and on critical minerals assets that support United States domestic resource security, in each case where the target has assets at or approaching the development stage and a need for capital to advance those assets toward production.

We expect to prioritize assets located in the United States, principally in Nevada and Texas, and in other tier-one, low-risk mining jurisdictions. We expect to focus on targets with an enterprise value of approximately $500 million to $1.5 billion, and to consider a range of transaction structures, including asset acquisitions and carve-outs, spin-outs from a parent company and business combinations with privately held companies. Our objective is to identify an asset that can contribute to United States domestic supply chain security and that we believe can be scaled and re-rated in the U.S. public markets.
