The IPO Buzz: Circle Internet (CRCL Proposed) Sets Terms for $600 Million IPO

Circle Internet Corp. (CRCL Proposed), a cryptocurrency issuer, disclosed the terms for its $600 million IPO – 24.0 million shares at a price range of $24.00 to $26.00 – in an S-1/A filing early today – Tuesday, May 27, 2025. The IPO is expected to price next week. Of the 24.0 million shares in the IPO, the company is offering 9.6 million shares and the selling stockholders are offering 14.4 million shares, according to the prospectus. The company will not receive any proceeds from the sale of the selling stockholders’ shares.

Circle Internet Corp. would have a market cap of about $5.43 billion – if the IPO is priced at the $25.00 mid-point of its range.

J.P. Morgan, Citigroup and Goldman Sachs are the lead joint book-runners.
